The proposed collaboration will focus on projects in Alberta, British Columbia and Saskatchewan, positioning FingerMotion to expand its presence in the rapidly growing North American AI infrastructure market. Exclusive Development Framework Planned Under the terms of the contemplated agreement, BlueFlare would become FingerMotion’s exclusive development partner across the three provinces. The companies have already identified two potential project locations for evaluation and intend to use commercially reasonable efforts to finalize a commercial term sheet for at least one site within 90 days of executing the MOU. Natural Gas-Powered AI Infrastructure If completed, the partnership would see BlueFlare take responsibility for site sourcing, project development, engineering, construction, operations and ongoing management of high-performance computing facilities. The proposed sites would combine AI computing infrastructure with co-located bitcoin mining operations and would be powered by dedicated natural gas generation rather than relying on the electrical grid. This approach is intended to provide greater control over power availability and energy costs while supporting the substantial computing requirements associated with artificial intelligence workloads. Strategic Entry Into a Growing Market “The cooperation framework we are establishing with BlueFlare gives FingerMotion a credible Western Canadian foothold in the rapidly growing North American AI infrastructure market,” said Martin Shen, Chief Executive Officer of FingerMotion. The company believes that behind-the-meter energy solutions could offer a competitive advantage compared with traditional grid-dependent data center developments. Agreement Remains Largely Non-Binding While the memorandum of understanding establishes the framework for future cooperation, most key commercial terms remain non-binding and will require separate definitive agreements. However, provisions relating to exclusivity, confidentiality and dispute resolution are expected to become binding once the MOU is executed. Under the arrangement, FingerMotion would receive exclusivity with BlueFlare throughout the designated territory, while BlueFlare would retain the ability to pursue projects with other counterparties. Aligned With Regional Data Center Growth The initiative comes as Alberta seeks to attract approximately C$100 billion of data center investment by 2030.
